FRA receives MTO from B Investments for 90% stake in OFH

Arab Finance: The Financial Regulatory Authority (FRA) has received a mandatory tender offer (MTO) from B Investments Holding (BINV) for acquiring up to 90%, or 4.249 billion shares, of Orascom Financial Holding’s (OFH) capital, according to a statement by the FRA on January 11th.

Once approved, B Investments will issue capital increase shares of up to 74.859 million shares for the share swap at a ratio of 56.76-for-1 share.

The share swap will only be applicable to the takeover of a stake of not less than 51% and not over 90%.

On January 10th, B Investments’ extraordinary general meeting (EGM) approved raising the company’s issued capital to EGP 1.174 billion at a maximum from EGP 800.122 million.

The capital hike will be carried out at a fair value of EGP 25.223 per share via a share swap with OFH at a 1:56.76 ratio.
